SpamHero Reseller Agreement

This Reseller Agreement ("Agreement") is made by and between iSparks, a Utah corporation, doing business as SpamHero ("SpamHero"), and you, the Reseller. By signing up for or continuing in the SpamHero reseller program, the Reseller agrees to the following terms:

1. Use of SpamHero Name and Logo

1.1 The use of the SpamHero name or logo by resellers is not permitted without prior written approval from SpamHero. If you wish to use our name or logo, you must obtain express written permission from us. Even with permission, you must not portray yourself as representing the official SpamHero service, but may only indicate that you are an authorized reseller of SpamHero services. Any unauthorized use or portrayal can result in immediate termination of this agreement and may also be subject to legal action.

2. Customer Support

2.1 The Reseller agrees to provide all necessary support to their customers ("End Users") related to the use of SpamHero services. Any requests for support from End Users received by SpamHero will be referred back to the Reseller.

2.2 The Reseller is required to maintain updated contact information in the reseller control panel to ensure that their End Users can easily reach them for support.

3. Account Maintenance

3.1 The Reseller is responsible for keeping their account payment status current with SpamHero and keeping their account contact information current, enabling effective communication between SpamHero and the Reseller.

4. Customer Transfers

4.1 If an End User contacts SpamHero with a request to become a direct customer, such request will be granted only after the Reseller gives permission, subject to the following exceptions:

1. If the Reseller cannot be reached after 30 days from the request, SpamHero may provide instructions to the End User for verifying domain ownership and proceed with the subscription transfer without the Reseller's consent. If the Reseller's account is past due and will be suspended before the expiry of the 30-day period, the waiting time for the Reseller to respond is reduced from 30 days to five days before suspension.
2. If the Reseller's account is already suspended, no permission from the Reseller is required to transfer the End User's subscription.

5. Compliance with Terms of Service

5.1 The Reseller must ensure their End Users adhere to SpamHero's Terms of Service, including, but not limited to, prohibiting End Users from sending spam emails.

5.2 SpamHero reserves the right to suspend services to any End User found in violation of the Terms of Service.

6. Reseller Plan Termination

6.1 The Reseller's plan may be terminated by SpamHero for the following reasons:

1. Non-compliance with our Terms of Service.
2. Suspension of services due to non-payment.
3. The Reseller's failure to support their customers.
4. If the Reseller does not own or operate a qualifying business that offers IT services to its customers.

7. Amendments to the Agreement

7.1 SpamHero reserves the right to modify the terms of this Agreement at any time. Any such modifications will be communicated to the Reseller by email or through their Reseller Control Panel at least 30 days before the changes take effect. If the Reseller does not agree with the changes, they have the right to terminate this Agreement within those 30 days. The Reseller's continued participation in the reseller program after the changes take effect constitutes their acceptance of the modified terms.

By signing up for or continuing in the SpamHero reseller program, the Reseller acknowledges and agrees to all the terms outlined in this Agreement.
